1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Service" means any consulting engagement, training workshop, coaching programme, or related service provided by Tawan Data.
- "User" / "You" means any individual or organisation accessing our website or engaging our services.
- "We / Us / Our" means Tawan Data, registered at 22/8 Tha Phae Road, Chang Moi, Mueang Chiang Mai, Chiang Mai 50300, Thailand.
- "Content" means all materials, documents, presentations, toolkits, and resources produced or shared in connection with our services.
- "Agreement" means the contract formed between Tawan Data and the client upon confirmation of an engagement.
2. Acceptance of Terms
By accessing our website, submitting an enquiry form, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
If you are engaging our services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
3. Service Description
Tawan Data provides professional AI integration consulting, employee training workshops, and change leadership coaching for business organisations in Thailand. Our current programmes include the AI Literacy Foundation Workshop (3 days), AI-Powered Financial Operations Consulting (10 weeks), and AI Transformation Coaching for Change Leaders (10 weeks with 60-day post-support).
Services are available to organisations and individuals based in Thailand. We reserve the right to decline or adjust the scope of any engagement based on our assessment of fit and capacity. Geographic restrictions may apply at our discretion.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and truthful information when submitting enquiry forms or engaging in programme onboarding
- Not use our website or services for any unlawful purpose or in any way that could harm Tawan Data or third parties
- Not attempt to copy, reproduce, distribute, or exploit our programme content, materials, or proprietary frameworks without our written consent
- Not attempt to interfere with the normal operation of our website
- Treat Tawan Data personnel and other programme participants with professional respect
5. Intellectual Property
All content on our website and all programme materials, including curricula, frameworks, toolkits, presentations, and written guides, are the intellectual property of Tawan Data unless otherwise stated. All rights are reserved.
Programme participants are granted a limited, non-exclusive, non-transferable licence to use materials provided during an engagement for their own internal professional purposes. This licence does not include the right to reproduce, adapt, or share materials with third parties outside the participant's own organisation.
Any feedback, suggestions, or contributions you provide to Tawan Data may be used to improve our programmes without obligation or compensation.
6. Payment Terms
Programme fees are as listed on our website and confirmed in writing prior to engagement commencement. All prices are stated in Thai Baht (THB) and inclusive of VAT where applicable under Thai Revenue Code requirements.
Accepted payment methods include Thai bank transfer and other methods agreed in writing. Payment schedules are confirmed in individual engagement agreements. For consulting and coaching programmes, a deposit may be required to confirm the engagement.
Refund Policy: For workshop cancellations made more than 7 days before the scheduled start date, fees paid will be refunded in full. Cancellations within 7 days may be subject to an administrative fee. For consulting and coaching engagements, refund terms are specified in the individual engagement agreement.
7. Service-Specific Terms
AI Literacy Foundation Workshop
Enrolment is confirmed upon receipt of payment or written agreement. The curriculum covers the topics described in our programme materials. Tawan Data reserves the right to update session content to reflect changes in the AI landscape. Completion of all three days is encouraged but not required to retain access to programme materials.
Financial Operations Consulting
Scope, deliverables, and milestones are defined in a written scope of work agreed before the engagement begins. Changes to scope requested by the client after engagement commencement may affect timeline and fees. Tawan Data will communicate any material impact in writing before proceeding.
Change Leadership Coaching
Coaching sessions are scheduled by mutual agreement. The 60-day post-programme support period begins on the date of the final formal session. Support is provided via email and brief calls and does not constitute an ongoing consulting engagement. Peer learning circle participation is optional but strongly recommended.
8. Disclaimers
Our services are provided on a professional best-efforts basis. We do not make representations about specific organisational outcomes, staff adoption rates, or financial improvements that will result from any engagement. Results depend on many factors within the client organisation that are outside our control.
Content on our website is provided for informational purposes and does not constitute legal, financial, or technical advice. You should seek independent professional advice before making decisions based on website content alone.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Tawan Data's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the relevant engagement. We are not liable for indirect, consequential, or incidental damages arising from the use of our services.
This limitation does not apply to cases of gross negligence or wilful misconduct by Tawan Data.
10. Indemnification
You agree to indemnify and hold harmless Tawan Data, its consultants, and representatives from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of our services, breach of these terms, or violation of any applicable law.
11. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice. Tawan Data may also suspend or terminate website access in cases of misuse.
Upon termination, the client's licence to programme materials ceases. Confidentiality and intellectual property obligations survive termination.
12. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion within 30 days of the dispute arising.
If informal resolution is not achieved, the dispute shall be subject to the jurisdiction of the courts of Chiang Mai Province, Thailand.
13. General Provisions
- Entire Agreement: These terms, together with any written engagement agreement, constitute the entire agreement between the parties regarding the relevant service.
- Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights or obligations under these terms without our written consent.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. Material changes will be notified via a notice on our website. Continued use of our services after updated terms take effect constitutes acceptance.
